1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, services, platforms, and content operated by NapoRepublic and Jetwheel (collectively, “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Services Covered

These Terms apply to:

• NapoRepublic GTM consulting services (positioning, messaging, pipeline strategy, and related deliverables)
• Jetwheel platform (CRM features, LinkedIn growth tools, and coaching resources)
• Practice Ground newsletter and Substack content
• Workshops, sprints, fractional engagements, and digital products
• All associated websites, landing pages, and communications

3. Eligibility

You must be at least 18 years of age and capable of entering into a binding agreement to use our services. By using our services, you represent that you meet these requirements. Our services are intended for business and professional use.

4. Accounts and Access

Some services (including Jetwheel) require account creation. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Consulting and Service Engagements

5.1 Scope of Services

Specific deliverables, timelines, pricing, and engagement terms are defined in individual service agreements, proposals, or statements of work (“SOW”). These Terms apply in addition to any such agreements.

5.2 Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access to enable delivery of services. Delays caused by client inaction may affect timelines without constituting a breach on our part.

5.3 Results Disclaimer

NapoRepublic and Jetwheel provide strategy, frameworks, tools, and coaching. We do not guarantee specific business outcomes, revenue results, or LinkedIn performance metrics. Results depend on factors outside our control, including client implementation and market conditions.

6. Intellectual Property

6.1 Our Content

All content, frameworks, templates, methodologies, tools, copy, and materials we create and provide — including the Technical × GTM × Storytelling framework, Bold Pipeline Builder program, Jetwheel platform, and Practice Ground content — are the intellectual property of NapoRepublic / Nifemi Abiodun. Unauthorized reproduction, distribution, or commercial use is prohibited.

6.2 Client Deliverables

Upon full payment, clients receive a license to use deliverables created specifically for them (such as positioning documents, messaging frameworks, and copy). Underlying methodologies, templates, and processes remain our property.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us a non-exclusive, royalty-free license to use that feedback to improve our offerings without obligation to you.

7. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of applicable law
• Reverse engineer, scrape, or copy our platform, tools, or proprietary content
• Use Jetwheel or any tools to send spam, manipulate platforms, or violate LinkedIn’s terms of service
• Misrepresent your identity or affiliation when engaging with our services
• Interfere with or disrupt the security or integrity of our platforms

8. Payments and Refunds

Pricing for engagements is set forth in proposals or service agreements. Unless otherwise stated:

• Payments are due as specified in the engagement agreement
• Retainer and program fees are non-refundable once work has commenced
• Digital products and courses are non-refundable after download or access

We reserve the right to pause or terminate services for non-payment.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public business information shared during engagements. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that specific results will be achieved. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NapoRepublic and Jetwheel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of our services. Our total liability for any claim shall not exceed the fees you paid for the specific service giving rise to the claim in the 90 days preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless NapoRepublic, Jetwheel, and their affiliates, officers, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your use of our services, (b) your violation of these Terms, or (c) your violation of any third-party rights.

13. Third-Party Platforms

Our services may integrate with or reference third-party platforms such as LinkedIn, Substack, and Google. We are not responsible for the practices, availability, or content of third-party platforms. Your use of such platforms is governed by their respective terms and policies.

14. Termination

We reserve the right to terminate or suspend your access to our services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful. Upon termination, provisions that by their nature should survive (including intellectual property, confidentiality, and liability limitations) will continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Los Angeles County, California, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above. Continued use of our services after any changes constitutes your acceptance of the updated Terms.

17. Entire Agreement

These Terms, together with any applicable service agreements or SOWs, constitute the entire agreement between you and NapoRepublic / Jetwheel regarding the subject matter herein and supersede all prior understandings or agreements.
